  1.                          SHRINK-WRAP LICENSE AGREEMENT

  3.                   ARROWAY TEXTURES END USER LICENSE AGREEMENT

  5. NOTICE TO USERS: CAREFULLY READ THE FOLLOWING LEGAL AGREEMENT BEFORE CONTINUING.
  6. USE  OF   THE  TEXTURES  PROVIDED   WITH  THIS  AGREEMENT  ("ARROWAY  TEXTURES")
  7. CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS. IF YOU DO NOT AGREE TO THE TERMS  OF
  8. THIS AGREEMENT,  DO NOT  INSTALL, COPY  OR USE  ARROWAY TEXTURES.  USER'S USE OF
  9. ARROWAY TEXTURES IS CONDITIONED UPON COMPLIANCE  BY USER WITH THE TERMS OF  THIS
  10. AGREEMENT.

  12.                                  1. DEFINITIONS
  13.  
  14. This Arroway Textures End User  License Agreement ("EULA") is a  legal agreement
  15. between you the End  User (whether an individual  or a recognized legal  entity)
  16. (the  "LICENSEE")  and  Arroway  Textures  for  the  Arroway  Textures  products
  17. accompanying  this  EULA,  which  includes  digital  textures  and  may  include
  18. associated media, and "online" or electronic documentation ("Arroway Textures").

  20.                                 2. LICENSE GRANT
  21.  
  22. Arroway Textures grants you a license to use and modify the textures included in
  23. one copy  of Arroway  Textures. "You"  means the  company, entity  or individual
  24. whose funds  are used  to pay  the license  fee. "Use"  means copying,  storing,
  25. loading, installing, or displaying the contents. You may not rent, lease,  lend,
  26. sell or sublicense the contents to another person, company or other entity.

  28.                                   3. OWNERSHIP
  29.  
  30. The Arroway Textures  collection is owned  and copyrighted by Arroway Textures.
  31. Your license confers  no title or  ownership of the  textures and should  not be
  32. construed as a sale of any right. 
  33.  
  34.                                   4. COPYRIGHT
  35.  
  36. Arroway Textures  are protected  by German  copyright law,  international treaty
  37. provisions  and other  applicable law.  You acknowledge  that no  title to  the
  38. intellectual property  in Arroway  Textures is  transferred to  you. You further
  39. acknowledge that title and full ownership rights to Arroway Textures will remain
  40. the exclusive property of Arroway Textures  and you will not acquire any  rights
  41. to Arroway Textures except as expressly set forth in this license.

  43.                                   5. LIABILITY
  44.  
  45. You agree  that you  will defend,  indemnify and  hold Arroway Textures harmless
  46. against any claims or liabilities  arising out of the use,  misuse, distribution
  47. or execution of  any Arroway Textures  Product including claims  brought against
  48. you for the use of such TEXTURES. You further agree to hold harmless and protect
  49. Arroway Textures against any such civil, legal or criminal claims which will  be
  50. paid by licensee including court costs and judgments.

  52.                                   6. WARRANTY
  53.  
  54. Arroway Textures warrants the  product to be free  from defects in material  and
  55. workmanship for  30 days  from delivery.  Your sole  and exclusive  remedy for a
  56. breach of this warranty is the replacement of the product. Refunds will be given
  57. at the discretion  of the Company  Management. Arroway Textures  and any related
  58. documentation is provided "as is"  without warranty of any kind,  either express
  59. or  implied,   including,  without   limitation,  the   implied  warranties   or
  60. merchantability,  fitness for  a particular  purpose, or  non-infringement. The
  61. entire risk arising out of use  or performance of Arroway Textures remains  with
  62. the LICENSEE.
  63.  
  64.                                 7. GOVERNING LAW
  65.  
  66. This Agreement shall in all respects be governed by and construed in  accordance
  67. with the laws in force in Germany.
  68.  
  69.                                  8. AMENDMENTS
  70.  
  71. Arroway Textures reserves the right to amend this agreement at any time.
  72.  
  73.                                9. ENFORCEABILITY
  74.  
  75. If any part of this Agreement is found void and unenforceable, the parties agree
  76. that such invalidity shall not affect the validity of the remaining portions  of
  77. this agreement.
